TERMS OF ENGAGEMENT

These Terms of Engagement (“Terms”) govern the relationship between NANNIED (“the Agency”) and the Client (“the Family”).

By instructing the Agency, interviewing, or engaging any candidate introduced by NANNIED, the Client agrees to these Terms.

1. The Service

NANNIED provides a bespoke nanny placement service, specialising in highly curated short-term, temporary, and flexible childcare placements.

The Agency acts as an employment agency (within the meaning of the Employment Agencies Act 1973) and does not employ candidates directly.

2. Inner Circle Membership (Annual)

Access to NANNIED’s services is offered through the NANNIED Inner Circle, a private annual membership.

•⁠ ⁠An annual membership fee of £200 is payable in advance

•⁠ ⁠Membership is valid for 12 months from the date of payment

•⁠ ⁠The fee is non-refundable and non-transferable

Inner Circle Membership includes:

•⁠ ⁠Priority access to NANNIED’s vetted candidate network

•⁠ ⁠A tailored, discreet search process

•⁠ ⁠Introductions to off-market candidates where available

•⁠ ⁠Ongoing support for multiple placements during the membership period

Searches and candidate introductions will not commence until membership is active.

NANNIED reserves the right to limit or decline membership at its discretion.

3. Candidate Introduction

A “Candidate Introduction” occurs when NANNIED provides candidate details to the Client, whether verbally, in writing, or electronically.

•⁠ ⁠All introductions remain valid for 12 months from the date of introduction

•⁠ ⁠A placement fee is payable if the Client engages the candidate within this period

•⁠ ⁠This applies to direct or indirect engagement, including via third parties

4. Placement Fees (Permanent & Fixed-Term Roles)

For placements of two weeks or longer, the Client agrees to pay:

⁠A placement fee of 12% of the candidate’s total gross annualised remuneration package

This includes salary, guaranteed bonuses, and any agreed allowances.

Minimum fee: £3,500 (if applicable)

The placement fee becomes payable upon the earliest of:

•⁠ ⁠The Client’s offer being accepted (verbally or in writing), or

•⁠ ⁠The candidate commencing employment

The Inner Circle Membership fee is separate and non-deductible from the placement fee.

5. Temporary & Short-Term Placements

For placements of less than two weeks:

•⁠ ⁠Fees will be quoted and agreed in advance

•⁠ ⁠All bookings must be confirmed in writing

•⁠ ⁠Any extensions or repeat bookings must be arranged through NANNIED

6. Payment Terms

•⁠ ⁠All invoices are payable within 7 calendar days of issue

•⁠ ⁠Late payments may incur interest pursuant to the Late Payment of Commercial Debts (Interest) Act 1998

•⁠ ⁠NANNIED reserves the right to suspend services where payment is outstanding

7. Exclusivity & Non-Circumvention

The Client agrees:

•⁠ ⁠Not to circumvent the Agency

•⁠ ⁠Not to share candidate details with third parties

If a candidate introduced by NANNIED is engaged outside of the Agency within 12 months, the full placement fee remains payable.

8. 48-Hour Reservation Period

Following an offer, NANNIED may hold a candidate exclusively for the Client for up to 48 hours.

If the Client delays or withdraws after acceptance, NANNIED reserves the right to reintroduce the candidate to other clients.

9. Replacement Policy

If a placement ends within:

•⁠ ⁠2 weeks (temporary roles), or

•⁠ ⁠6 weeks (placements of two weeks or longer)

NANNIED will use reasonable endeavours to provide a replacement candidate at no additional agency fee.

This is subject to:

•⁠ ⁠Full payment of all fees

•⁠ ⁠No material change to the role or conditions

•⁠ ⁠Termination not arising from redundancy, relocation, or a change in requirements

Refunds are not provided.

10. Trials

•⁠ ⁠All trials must be arranged via NANNIED

•⁠ ⁠Trials are payable directly by the Client unless otherwise agreed

•⁠ ⁠Trials are subject to these Terms

11. Client Responsibilities

The Client agrees to:

•⁠ ⁠Provide accurate and complete information regarding the role

•⁠ ⁠Maintain a safe and lawful working environment

•⁠ ⁠Comply with all UK employment obligations, including:

- Written employment contracts

- PAYE, tax, and National Insurance contributions

- Right to work checks

NANNIED may provide guidance but accepts no liability for compliance.

12. Candidate Vetting & Liability

NANNIED undertakes a thorough vetting process, including identity and reference checks.

However:

•⁠ ⁠The final decision to employ rests solely with the Client

•⁠ ⁠NANNIED shall not be liable for:

- The acts, omissions, or conduct of any candidate

- Any loss, damage, or claim arising from employment

13. Confidentiality

All candidate information is strictly confidential and provided solely for the purpose of potential engagement.

The Client agrees not to:

•⁠ ⁠Share candidate details with third parties

•⁠ ⁠Retain or use candidate information beyond its intended purpose

14. Data Protection

All personal data is processed in accordance with the UK GDPR and the Data Protection Act 2018.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Acceptance

Payment of the Inner Circle Membership fee and/or engagement with introduced candidates constitutes full acceptance of these Terms.
